Course Objectives and Attainment Goals

企業法務の領域のうち、主にコーポレート・ガバナンス、コーポレート・ファイナンス、および、M&Aの分野を取り上げ、具体的な設例に基づいて、会社法・資本市場規制に関する諸問題をゼミ形式で検討する。それによって、それらの分野を取り扱うための基本的な知識と検討方法を身につけることを到達目標とする。

Relationship to the relevant course

会社法に関する基本的な知識と理解を有していることが必要である。また、企業法務BPを履修済みであることが望ましい。

なお、仮に履修希望者数が定員数（25名）を大幅に超えた場合は、2クラス制（定員50名）とするが、さらに履修希望者数が50名をも超える場合は、企業法務BP履修済みである者に、本科目の履修登録を優先的に認めることを予定している。

Course Type

全15回のうち、3回は企業法務の最先端で活躍するゲストスピーカーによる講義形式で授業を行う。
他方、その他の回（計12回）については、9月中旬頃にKLMSを通じて配布される事例問題について、１名または複数の受講者がレポートをした後（レポーターの人数は本講義の受講者数との関係で決まる）、受講者全員で議論するという形式（いわゆるゼミ形式）で進める。

なお、レポーターの割当ては、教員側で行ったうえで、9月中旬頃に（教材とともに）提示する。また、各レポーターは、担当回の１週間前を目処に、KLMS上にレジュメをアップしなければならないものとする。
